1. Agreement and draft status

This is a developer foundation draft prepared for internal review. It is not final, not binding, and not legal advice. It must be reviewed and approved by qualified counsel before publication.

These Terms of Service ("Terms") are a contract between you and [COMPANY_LEGAL_NAME] ("Rankor," "we," "us"). They govern access to and use of the Rankor website (rankor.ai) and application, including any development and staging environments (dev.rankor.ai, stg.rankor.ai) (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" refers to that company.

2. The Service

Rankor is a business-to-business software service for AI search visibility and generative engine optimization ("GEO"). Customers create a Brand, add a domain, and configure prompts. Rankor sends those prompts to third-party AI systems on a schedule or on demand, and shows the customer the resulting answers, citations, sources, gap analysis, insights, recommendations, and competitor comparisons. Visibility, share-of-voice, sentiment, and position scores are estimates derived from third-party model outputs; they are not guarantees of accuracy, ranking, or future performance.

Rankor may add, modify, or remove features at any time. Not all features described in these Terms or shown in the interface may be active in every environment.

3. Eligibility and accounts

  1. You must be at least 18 years old to create an account or use the Service.
  2. Signup requires a first name, last name, email address, and password. Passwords must meet minimum complexity requirements shown at signup. Accounts remain pending until email verification is complete. You may request that a verification email be resent.
  3. You may sign in with a Rankor account and password, or with "Continue with Google." Other login methods that may be referenced in the product's underlying data structures are not currently available to end users, and we make no representation that they are supported.
  4. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any suspected unauthorized access, at [email protected].
  5. Password changes are handled only through an emailed reset link sent to your account email; there is no in-app password change form at this time.
  6. You may log out of a single session or revoke all active sessions for your account through account settings.
  7. You may delete your account from account settings. Deletion is a soft delete: your status changes to deleted, your email and name are anonymized, your password is cleared, brands you own are archived, and all sessions are revoked. Data is scheduled for purge approximately 30 days after deletion, subject to Section 11.
  8. You are responsible for providing accurate account information and keeping it up to date.

4. Customer content and license

  1. "Customer Content" means the brand information, domains, prompts, topics, tags, competitor entries, personas, and related data that you or your authorized teammates submit to the Service.
  2. You grant Rankor a non-exclusive, worldwide, royalty-free license to use, host, process, and display Customer Content solely to operate and provide the Service to you, including: a. sending your prompts to third-party AI systems and storing the resulting answers, citations, and scores; b. generating insights, recommendations, and competitor comparisons; c. producing CSV exports at your request; and d. displaying your Brand's data to teammates you have authorized.
  3. You represent and warrant that you have the necessary rights to submit Customer Content, and that Customer Content does not infringe or violate the rights of any third party or any applicable law.
  4. You may export certain data yourself, including CSV exports of prompts, sources, and gap analysis, through in-product export tools, subject to any size limits shown in-product. These exports are downloads you initiate; they are not an automated or comprehensive data-export mechanism.
  5. You retain all ownership rights in Customer Content, subject to the license granted above.
  6. We may aggregate or de-identify data derived from use of the Service across customers for product improvement, benchmarking, or research purposes, provided such data does not identify you or your Brand.

5. AI systems and third-party models

  1. Rankor relies on third-party AI systems to generate the answers, citations, and scores shown in the product. These may include AI systems accessed through a third-party aggregation vendor, a direct API integration with a separate model vendor, and a separate AI provider used specifically for brand-setup suggestions.
  2. When you submit or configure prompts, that content leaves Rankor's own systems and is transmitted to and processed by these third-party providers according to their own processing practices. Rankor does not control the underlying models, their training data, their outputs, their availability, or their accuracy.
  3. During brand setup, Rankor may fetch the publicly available homepage of the domain you provide, cache it briefly, and use that page content together with your inputs to generate suggested profile information, topics, and prompts. You are responsible for reviewing and editing any AI-suggested content before relying on it, and you may accept or reject suggestions.
  4. All outputs, scores (including visibility, share of voice, sentiment, and position), insights, and recommendations are provided for informational purposes only. They are estimates based on third-party model behavior at a point in time and are not guarantees of how your brand appears, will appear, or should appear in any AI assistant or search context.
  5. We make no warranty regarding the completeness, accuracy, reliability, or availability of any third-party AI system's output, and we are not responsible for decisions you make in reliance on such output.
  6. Third-party AI systems and their outputs may change, be deprecated, or become unavailable at any time, and Rankor is not liable for any resulting disruption to the Service.

6. Acceptable use

You agree that you will not, and will not permit any user of your account to:

  1. Use the Service to submit unlawful, defamatory, infringing, or abusive prompts or content, or content intended to harass, exploit, or harm any individual or group.
  2. Attempt to abuse, overload, scrape, or circumvent rate limits, quotas, or scheduling controls on the Service's APIs or harvest functionality.
  3. Reverse-engineer, decompile, disassemble, or attempt to derive the source code, underlying models, or architecture of the Service, except to the extent such restriction is prohibited by applicable law.
  4. Share your account credentials with anyone outside your authorized team, or use another person's account or credentials without authorization.
  5. Resell, sublicense, rent, lease, or otherwise make the Service available to any third party as a standalone or competing product without our prior written permission.
  6. Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or the accounts of other users.
  7. Use the Service to build a competing product or to benchmark the Service for competitive purposes without our prior written consent.
  8. Upload or submit malicious code, or otherwise attempt to compromise the security or integrity of the Service.

We reserve the right to investigate suspected violations and to suspend or terminate accounts as described in Section 11.

7. Teams and authorized users

  1. A "Team" consists of the individual users you invite to a specific Brand. Rankor does not currently support company-wide organizations or workspaces that span multiple brands; all team membership is scoped to a single Brand.
  2. Team roles include owner, admin, and member, with differing levels of access to that Brand's data and settings.
  3. The billing owner of a Brand is the account that originally created it. Promoting another member to a team "owner" role does not transfer billing ownership, and there is currently no self-service mechanism to transfer or remove billing ownership.
  4. Invitations are sent by email and expire 7 days after being issued. An invitation can only be accepted by the account associated with the invited email address. We block known disposable email domains from accepting invitations.
  5. If you invite a teammate to a Brand, you are responsible for ensuring that person is authorized by your organization to view and use that Brand's data, and for that person's compliance with these Terms.
  6. Members who accept an invitation can view and interact with that Brand's Rankor data consistent with their assigned role.
  7. There is currently no self-service way for a member to remove themselves from a Team. If you need to remove a team member or resolve a billing-ownership issue, contact [email protected].

8. Fees, trial, Stripe, taxes, cancellation

  1. Fees for paid plans, where applicable, are shown in-product at the time of purchase or upgrade. Where checkout is enabled, payment is processed through Stripe. Certain billing or checkout features may not yet be enabled in all environments and may display as unavailable; we do not guarantee availability of billing features at any given time.
  2. Rankor may offer a free trial period on certain plans. The length, features, and terms of any trial are shown in-product and are subject to change. We may require payment information to continue the Service after a trial ends, where checkout is enabled.
  3. All fees are stated and billed in US dollars unless otherwise indicated.
  4. You are responsible for any sales, use, value-added, or similar taxes associated with your purchase, other than taxes based on our net income, unless we state otherwise in writing.
  5. Subscriptions may be in a trialing, active, past-due, or canceled status, as reflected in your account. We do not provide any specific uptime or service-level commitment under these Terms.
  6. You may cancel a paid subscription through the mechanisms made available in-product once billing features are enabled, or by contacting [email protected]. Fees already paid are non-refundable except as required by applicable law or as we otherwise state in writing at the time of purchase.
  7. We may change our fees prospectively upon reasonable notice; changes will not apply retroactively to periods you have already paid for.

9. Intellectual property

  1. Rankor and its licensors own all right, title, and interest in and to the Service, including its software, user interface, documentation, and underlying technology, excluding Customer Content.
  2. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription term.
  3. You may not copy, modify, distribute, sell, or lease any part of the Service, except as expressly permitted by these Terms.
  4. All trademarks, logos, and brand names associated with Rankor are our property or that of our licensors. Nothing in these Terms grants you rights to use our trademarks without our prior written consent.
  5. Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or obligation to you.

10. Disclaimers; limitation of liability; indemnity

  1. THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUTS, SCORES, INSIGHTS, AND RECOMMENDATIONS, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  2. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any AI-derived scores, insights, or recommendations will be accurate, complete, or suitable for your particular purposes.
  3. To the maximum extent permitted by applicable law, neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.
  4. To the maximum extent permitted by applicable law, each party's total aggregate liability arising out of or related to these Terms will not exceed the total fees you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
  5. The limitations in this Section do not apply to a party's indemnification obligations, breaches of confidentiality, or liability that cannot be limited under applicable law.
  6. You agree to defend, indemnify, and hold harmless Rankor and its officers, employees, and agents from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your Customer Content; (b) your violation of these Terms; or (c) your unlawful or unauthorized use of the Service.

11. Suspension, termination, 30-day deletion

  1. We may suspend or restrict your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, pose a security or legal risk to the Service or other users, or have not paid applicable fees when due.
  2. We may terminate these Terms and your access to the Service for cause, including material breach that remains uncured after reasonable notice, or for convenience upon reasonable notice where no paid subscription is active.
  3. You may terminate your account at any time through account settings, as described in Section 3.
  4. Upon account deletion, your account is soft-deleted (status changed, email and names anonymized, password cleared, owned brands archived, sessions revoked) and is scheduled for a data purge approximately 30 days later. Certain records may be retained beyond that period where reasonably necessary for security, fraud prevention, backups, dispute resolution, or compliance with legal obligations.
  5. Upon termination for any reason, your right to access the Service ends, but Sections 4 (as to license survival for archival/legal purposes), 9, 10, 12, 13, and 14 survive termination.

12. Changes

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or our practices. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice (such as an in-product notice or email). Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to updated Terms, you should stop using the Service and may delete your account as described in Section 3.

13. Governing law

These Terms and any dispute arising out of or related to them or the Service will be governed by the laws of the State of [GOVERNING_STATE], without regard to its conflict-of-laws principles. Subject to any mandatory consumer-protection laws that may apply, the state and federal courts located in [GOVERNING_STATE] will have exclusive jurisdiction over any dispute arising out of these Terms, and you consent to personal jurisdiction in those courts.
